1) Introduction
Welcome to the website and services provided by Punde Commerce LLC ("Punde," "we," "our," or "us"), a limited liability company organised under the laws of the State of Delaware, United States. By accessing or using our services, you agree to comply with and be bound by these Terms and Conditions. These terms apply to all users of the website and any services provided by us. Please read these terms carefully.
Contracting entity. Services are provided by Punde Commerce LLC unless your engagement letter expressly names a different entity, in which case the terms of that engagement letter govern.
2) Services Provided
Punde Commerce LLC provides go-to-market services for ecommerce brands and ecommerce-adjacent software companies, which may include:
- Positioning, messaging, and go-to-market strategy
- Storefront, landing-page, and headless/Shopify Plus development
- Tracking, analytics, and attribution implementation
- AI search optimisation (GEO/AEO) and structured-data work
- Organic acquisition, content, and SEO
- Retention and lifecycle marketing (email/SMS)
- Marketplace strategy
- Ongoing maintenance and support
All services will be provided as per the scope, timelines, and deliverables outlined in individual agreements with our clients. Nothing on this website constitutes an offer to provide services, and no engagement exists until a written agreement is signed by both parties.
3) Client Responsibilities
To ensure the timely and successful delivery of services, clients are required to:
- Provide necessary materials, content, access, and information for the project in a timely manner.
- Review and approve project deliverables within the timeframes specified in the agreement.
- Ensure that all information provided to Punde is accurate and up-to-date.
Any delays caused by the client, including delays in providing materials, access, or approvals, may result in changes to the project timeline and additional costs.
4) Payment Terms
Payments for services will be outlined in the individual agreement between Punde and the client.
- Fixed-scope engagements may require payment in advance or a non-refundable deposit before work begins.
- Retainer engagements are billed monthly in advance and may carry a minimum term as stated in the engagement letter.
- The balance must be paid upon completion or according to a payment schedule agreed upon by both parties.
We accept payment via bank transfer or other methods as stated in the invoice. All payments to Punde Commerce LLC must be made in United States Dollars (USD) unless otherwise stated in writing. Late payments may result in service delays or suspension until the account is brought up to date.
5) Confidentiality
Punde takes the privacy and confidentiality of client data seriously. We will not disclose any confidential information or proprietary data shared with us during the course of our services, except as required by law or with the explicit consent of the client.
Where we are granted access to client systems, storefronts, analytics accounts, or customer data, such access will be used solely to perform the agreed services and will be revoked or returned on request or on termination.
6) Intellectual Property Rights
All intellectual property (IP) created by Punde during the project, including but not limited to website designs, code, applications, and content, will remain our property until full payment is received. Upon receipt of payment, ownership of the final product will be transferred to the client, with the exception of third-party licensed tools or software used in the project and any pre-existing tools, libraries, or frameworks owned by Punde, which are licensed to the client on a non-exclusive basis for use with the delivered work.
Punde reserves the right to showcase completed projects in its portfolio and marketing materials, unless otherwise agreed upon in writing by the client.
7) Revisions and Amendments
Clients are entitled to a specified number of revisions as outlined in the project scope. Any revisions beyond the agreed number may be charged at an additional rate. The client will be notified of any potential extra costs before additional work is carried out.
8) Termination of Services
Either party has the right to terminate the project in the event of a material breach of the agreement by the other party. If the client chooses to terminate services before the completion of the project, the client will be billed for all work completed up to the date of termination, subject to any minimum term stated in the engagement letter.
If Punde terminates the agreement due to a breach, we reserve the right to retain any deposit and charge for all completed work.
9) Limitation of Liability
Punde Commerce LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the website or services, including loss of profits, data, revenue, or other intangible losses.
We make every effort to ensure that the services provided are error-free and secure. However, we cannot guarantee that the operation of any websites or applications developed will be uninterrupted or free of errors.
No performance guarantee. Marketing, go-to-market, search, and AI-search outcomes depend on factors outside our control, including third-party platforms, algorithms, market conditions, and client execution. We do not guarantee any specific ranking, visibility, traffic, revenue, or return on investment.
10) Third-Party Tools and Services
If the project involves third-party services, tools, or apps (such as Shopify apps, hosting providers, analytics platforms, advertising platforms, or payment gateways), the client agrees to the terms and conditions of those third parties. Punde is not responsible for any issues arising from third-party services, including changes to their pricing, availability, APIs, or policies.
11) Dispute Resolution and Governing Law
In the event of any disputes arising from this agreement, the parties agree to first attempt to resolve the matter through negotiation.
These terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The parties submit to the exclusive jurisdiction of the state and federal courts located in the State of Delaware, and the language of any proceedings shall be English.
12) Amendments to Terms and Conditions
Punde reserves the right to update or modify these Terms and Conditions at any time. Any changes will be posted on our website, and continued use of our services will constitute acceptance of the updated terms.
